We have assisted numerous clients in forming and creating new businesses and structures (both small and large businesses), including, but not limited to our efforts in helping clients form corporations, close corporations, partnerships, general partnerships, limited partnerships, limited liability partnerships and limited liability companies. Our attorneys have experience in creating subsidiaries to parent companies, in advising clients to attend annual meetings, in advising boards of directors, in creating bylaws for corporations and corporate structures, in assisting clients to record corporate minutes for their corporation’s meetings and in assisting clients in negotiating contracts with vendors and third-party sellers. Real Estate and Commercial Lending Real EstateOur firm has over 60 years in combined experience relating to real estate law, real estate transactions, commercial real estate and residential real estate matters. We have represented owners and developers of both commercial and residential real estate, and have significant experience in the negotiation, preparation, and closing of a wide variety of real estate transactions. Our clients have developed apartment projects, housing projects, townhome associations and townhouse communities, luxury homes, shopping centers, condominiums, industrial facilities, master planned communities, office buildings, and retail centers. Our firm works closely with companies, various businesses and entities, and individuals that are looking to subdivide and develop real estate for both residential and/or commercial real estate purposes. We represent clients who own and manage retail, residential, and commercial properties. We advise our clients in all aspects of property acquisition and development, including but not limited to drafting and reviewing purchase agreement/contracts, earnest money contracts, contracts promulgated by the Texas Real Estate Commission, we examine title commitments, deed restrictions, and surveys, and we advise our clients on all closing matters. Our firm has an abundance of experience in negotiating with title companies, escrow officers, surveyors, realtors, real estate agents, property associations and property managers. Our attorneys work intensely at guiding our clients through various due diligence issues that clients face when purchasing residential and commercial property. Title issues that we assist our clients with include, but are not limited to examining all relevant title issues, handling environmental issues related to Phase I and Phase II Environmental Assessment Reports, managing mineral rights issues and dealing with easements, liens, lienholders, right of way agreements. We assist our clients from the beginning of a construction project and through its completion. We efficiently review all types of construction contracts that are to be used in a construction project. We advise our clients of the advantages and disadvantages of entering into a particular contract and inform them of the responsibilities that they will undertake after executing such contract. Municipal Utility DistrictsWe have assisted property owners and developer clients in their creation of Municipal Utility Districts so that the property owners and developer clients can more efficiently provide utilities, water services, wastewater services, conservation activities, and irrigation activities to the property they are developing. Our attorneys have drafted and negotiated agreements and contracts with bond counsel pertaining to the issuance of bonds by Municipal Utility Districts to finance the construction of utility facilities (including, but not limited to water, electric and sewage facilities). We help our clients create their wealth by offering a complete and uninterrupted analysis of assets, income and advice on attaining their financial goals. We also help our clients to maintain and increase their wealth by providing assistance with tax issues, advice on financial protection, estate planning and trust administration.
